1. Acceptance of Terms
By accessing or using the AssetMatrix platform operated by nVit Technologies ("we", "us"), you agree to be bound by these Terms & Conditions. If you do not agree, you may not use the platform.
2. Description of Service
AssetMatrix is a cloud-based SaaS platform that enables institutions to track, manage, and report on their physical assets across branches. The platform is offered in multiple subscription tiers (Free, Starter, Professional, Business, Enterprise) with varying features and limits.
3. Account Registration
- You must provide accurate institution details and a valid admin email address
- Your 3-character institution code must be unique and cannot be changed after registration
- You are responsible for maintaining the confidentiality of your account credentials
- You must verify your email address within 24 hours of registration to activate your account
- One institution account per organization; multiple branches are managed within a single account
4. Subscription Plans & Billing
- Features and limits are governed by your selected tier as described on our Pricing page
- Paid plans (Starter, Professional, Business, Enterprise) are billed monthly or yearly
- Yearly billing provides a 20% discount compared to monthly billing
- Upgrades take effect immediately; tier limits are adjusted in real-time
- Downgrades take effect at the end of the current billing cycle
- We reserve the right to modify pricing with 30 days' advance notice
5. Acceptable Use
You agree not to:
- Use the platform for any illegal or unauthorized purpose
- Attempt to access another institution's data or bypass tenant isolation
- Upload malicious content, malware, or scripts
- Reverse engineer, decompile, or disassemble any part of the platform
- Share your account credentials with unauthorized individuals
- Exceed the limits of your subscription tier through automated means
6. Data Ownership
- You retain full ownership of all data you enter into AssetMatrix
- We do not claim any intellectual property rights over your asset data
- You may export your data at any time using the platform's export features
- We use your data solely to provide and improve the AssetMatrix service
7. Service Availability
- We target 99.9% uptime but do not guarantee uninterrupted service
- Scheduled maintenance will be communicated via email at least 24 hours in advance
- We are not liable for downtime caused by factors beyond our control (hosting provider outages, internet disruptions, force majeure events)
8. Limitation of Liability
To the maximum extent permitted by law:
- AssetMatrix is provided "as is" without warranties of any kind
- We are not liable for any indirect, incidental, or consequential damages
- Our total liability shall not exceed the amount paid by you in the 12 months preceding the claim
- We are not responsible for data loss resulting from your actions or failure to maintain backups
9. Account Termination
- You may cancel your account at any time by contacting support@assetmatrix.in
- We may suspend or terminate accounts that violate these terms
- Upon termination, your data is retained for 30 days, then permanently deleted
- Outstanding balances remain payable even after termination
10. Intellectual Property
The AssetMatrix platform, including its design, code, and branding, is the intellectual property of nVit Technologies. You may not copy, modify, or redistribute any part of the platform without prior written consent.
11. Governing Law
These terms are governed by the laws of India. Any disputes shall be resolved through arbitration in accordance with the Arbitration and Conciliation Act, 1996.
12. Changes to Terms
We may update these terms periodically. Material changes will be communicated via email to the registered Super Admin. Continued use of the platform constitutes acceptance of the revised terms.
